I. General Professional Standards & Operations (All Clients)

As used in this agreement, "Company," "we," "our," or "Contractor" refers to Mrs. Sparkle Cleaning Company LLC. "Client," "you," or "your" refers to the individual, homeowner, or corporate entity booking or authorizing our services.

  • 1. The "Clutter-Free" Efficiency Standard: To ensure the highest level of efficiency and care, we ask that you prepare your space prior to our arrival so our technicians can focus entirely on cleaning surfaces. Surfaces & Floors: Please clear countertops, tables, desks, and floors of personal items, toys, and sensitive or loose paperwork. Sink Maintenance: Ensure kitchen and breakroom sinks are free of unwashed dishes. If you require dishwashing services, please add our specialized Dishes Package to your recurring booking. Secure Valuables: Clients must store jewelry, fragile heirlooms, cash, keys, and sensitive or proprietary documents in a secure, locked location prior to our arrival.
  • 2. Access, Security, & Environment: Clear Entry: Ensure clear entry instructions (key, keypad code, alarm code, or the physical presence of a staff or household member) are provided ahead of your scheduled slot. Our team strives for absolute punctuality; please allow a 30-minute grace period to account for local St. Louis traffic conditions. Climate Control: For the safety, health, and operational productivity of our field technicians, facilities must maintain a comfortable indoor temperature during service. Right to Refuse Service: We reserve the immediate right to vacate any premises if our technicians encounter a hostile environment, unsafe structural conditions, or hazardous materials.
  • 3. Health & Environmental Safety: Our teams utilize state-of-the-art, best-practice procedures and color-coded microfiber technology to eliminate cross-contamination and maintain uncompromised hygiene standards. Biohazards: Our technicians are strictly equipped and trained for standard sanitation only. They are not authorized to handle, clean, or remediate biohazardous materials, including heavy mold, black mold, severe pest infestations, or animal/human waste. We will clean surrounding safe zones and notify the Client immediately for specialized remediation. Safety Restrictions: For safety and liability reasons, our technicians do not climb ladders higher than a standard 3-step stool, move heavy furniture exceeding 35 pounds, or clean exterior windows.

II. Residential-Specific Policies

  • 1. Cancellation & Inclement Weather: Our cleaners' schedules are committed specifically to your home. Last-minute cancellations cannot easily be refilled, impacting our staff's livelihood. 24-Hour Notice: We require a minimum of 24 hours' notice for any residential cancellation or rescheduling request. 1st Occurrence: $50 administrative fee. 2nd Occurrence: $100 administrative fee. 3rd Occurrence & Beyond: Full scheduled booking cost. Travel Alternative: If you are traveling, we highly encourage transitioning your scheduled slot to a "Deep Sparkle Reset" while you are away instead of canceling. Weather Disruptions: For the safety of our team during winter weather events, Mrs. Sparkle Cleaning Company follows the Lindbergh School District weather closures. If Lindbergh schools are closed due to inclement weather, our residential services are automatically suspended. All cancellation fees are entirely waived in these instances, and we will prioritize your home for immediate rescheduling.
  • 2. Pet Guidelines: For the safety and comfort of your animals and our team, please secure pets (cats, dogs, or other animals) in a crate, kennel, or separate designated room during service if they are prone to biting, territorial anxiety, or bolting out of open doors.
  • 3. Residential Payment Terms: Due Timing: Payment for residential services is due in full at the time of service delivery. Accepted Methods: We accept ACH transfers, major credit/debit cards, Venmo, cash, or checks (payable to Mrs. Sparkle Cleaning Co. LLC). Failed Payments: Declined credit cards or failed electronic payments will incur a $25 administrative fee if not resolved within 24 hours of notification. Returned checks will immediately incur a $35 Non-Sufficient Funds (NSF) fee. Outstanding balances will result in immediate service suspension.

III. Commercial-Specific Policies (B2B Accounts)

  • 1. Commercial Payment & Credit Terms: Invoicing Cycle: Standard commercial contract accounts are invoiced weekly or monthly as specified in their formal service schedule. Net Terms: Approved commercial accounts operate on a strict Net 15-day payment cycle from the date of invoice issuance unless an alternative corporate arrangement has been authorized in writing by our corporate office.
  • 2. Late Payment Penalties & Collections: To preserve our operating capital and meet our strict payroll obligations, late payments are managed firmly: Interest Accrual: Invoices remaining unpaid sixteen (16) days after the invoice date shall immediately accrue a late payment penalty equal to 1.5% per month (or the maximum statutory rate permitted by Missouri state law, whichever is less) on the outstanding balance, calculated continuously from the original due date. Service Suspension: Commercial accounts that reach thirty (30) days past due will face automatic service suspension. We accept no liability for facility conditions or lease violations resulting from a credit-related suspension of cleaning services. Collection & Legal Costs: In the event that Mrs. Sparkle Cleaning Company LLC must initiate formal collection proceedings, retain a collections agency, or initiate legal action to recover outstanding past-due commercial balances, the Client explicitly agrees to pay all reasonable costs of collection, including documented collection fees, court costs, and reasonable attorney's fees.
  • 3. Commercial Facility Cancellation & Lockout: Standard Cancellation: Commercial clients must provide a minimum of 48 hours' operational notice to cancel or change a scheduled facility clean. Cancellations made under 48 hours will be billed at 50% of the scheduled service rate. Facility Lockouts: If our commercial cleaning technicians arrive at a facility during scheduled hours and are denied access, turned away by facility staff, or locked out due to uncommunicated code changes, the Client will be billed at 100% of the full scheduled service rate for that day.

IV. Liability, Risk Management, & Intellectual Property

  • 1. Property Care & Damage Caps: We treat every residential home and commercial facility with the utmost professional care. However, in the rare event of accidental damage or breakage, our liability is managed under the following terms: Valuation Cap: Our liability for accidental breakage or damage caused by our technicians is strictly limited to the direct repair cost or actual replacement value of the specific item. It is explicitly capped at a maximum of $5,000 per incident or the total cash value of services rendered over the previous 12 months, whichever is less. Irreplaceable Items: We ask that "irreplaceable" or highly sentimental items (e.g., unique artwork, high-value antiques, custom family heirlooms) be completely secured or marked as a "Do Not Disturb" zone prior to service. Pre-existing Conditions: Mrs. Sparkle Cleaning Company LLC is not liable for damages or structural failures caused by improper initial installation, manufacturing defects, or inherent wear-and-tear. This includes, but is not limited to, loose cabinet doors, improperly anchored pictures or mirrors, fragile window blinds, or unstable shelving units.
  • 2. Mutual Indemnification (Commercial Framework): For all B2B and commercial property relationships, indemnification is structured mutually: Scope: Each party agrees to indemnify, defend, and hold harmless the other party from and against direct property damages, liabilities, or losses resulting solely from the direct gross negligence or willful misconduct of the indemnifying party’s employees or agents during the active timeline of this agreement. Contributory Risk Exclusion: Mrs. Sparkle Cleaning Company LLC shall not be held liable for third-party slip-and-fall claims or premises injuries if proper standard operating procedures—specifically the prominent placement of "Wet Floor" cautionary signage—were executed by our technicians on site during or immediately following cleaning cycles.
  • 3. Intellectual Property & Operational Preservation: As a highly specialized service provider, Mrs. Sparkle Cleaning Company LLC has invested substantial capital and time into developing proprietary workflows, chemical formulation combinations, equipment configurations, quality-control metrics, and operational training guidelines. Ownership: All methodologies, custom checklists, and workflows utilized by our technicians while on a Client's residential or commercial property remain the exclusive intellectual property of Mrs. Sparkle Cleaning Company LLC. No Transfer: No transfer of intellectual property, proprietary methods, or "work-for-hire" status is executed under this service relationship. Clients are strictly prohibited from copying, distributing, or reverse-engineering our operational documents or cleaning systems for internal corporate use or competitive commercial deployment.

VI. Governing Law & Severability

These Terms of Service, along with all operational interactions and formal service contracts, shall be governed by, interpreted, and enforced in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. If any individual provision, paragraph, or clause of these Terms of Service is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the court is authorized to modify the unenforceable provision to reflect the original intent of the parties as closely as possible.
